[Japan] Penalties due to negligence of not changing the matters of the Registration of Company


 

According to the Company law in Japan, when a change is made upon the matters of the Registration of Company, changes should be registered within two weeks.

Changes in matters of the Registration of Company include corporate name, purpose of business, head office location address, directors/other officers, increasing capital, issuing stock option rights etc.

Even if the changes were made after two weeks from the change, the application will still be accepted. However, if the registration change is made after two weeks from the change, the representative of the Company may need to pay 1,000,000 yen or less as penalty.

The penalty may not occur necessarily even the registration change was late, because judges fix the amount and whether it will be imposed. There would be high possibility to be penalized as time goes by. Therefore, the registration change should be made as soon as possible.
